Software License, Purchase and Risk Terms

Your purchase grants you a limited, personal, non-exclusive, non-transferable and revocable right to use the software, indicator, add-on or related digital product you have ordered (the “Software”). You are not buying the Software itself or any ownership of it. All title, copyright and intellectual property rights in and to the Software remain at all times with ICF Market and its licensors.

Unless your order expressly states otherwise, a license is issued for use by a single licensee on the authorised number of machines/seats for that product. The license, the license key and the downloadable files are issued to you personally.

You may install and use the Software on your own authorised machine(s), for your own personal or internal business trading and market-analysis purposes, in accordance with these Terms and any activation, seat or machine limits applicable to your product.

The Software is not sold, licensed or supported for use in Iran or Afghanistan. This is a legal restriction rather than a commercial preference: those jurisdictions are subject to export-control and sanctions regimes with which we are required to comply.

By placing an order you confirm that you are not ordering from, resident in, or intending to use the Software in either of those jurisdictions, and that you are not a person or entity subject to any applicable sanctions list.

Where a license is purchased from a permitted jurisdiction but we identify that the Software is being installed, activated or used in a restricted one, we will suspend or revoke the license and discontinue all associated services, updates and support. No refund is due in that event — see what is not eligible for a refund.

You must not, and must not permit or assist anyone else to:

Every copy of the Software carries an internal fingerprint that is unique to the license it was issued under. That fingerprint identifies the licensee the copy was delivered to, and it is designed to survive copying, renaming and repackaging.

If a cracked, patched, repackaged or otherwise unauthorised copy of the Software is found in circulation, we are able to determine which license it originated from. The licensee identified by that fingerprint is treated as responsible for the breach, whether the copy was distributed by them or by someone to whom they gave access to it.

In that event we will pursue every remedy available to us, which includes recovery of our losses, an account of the profits made from the breach, injunctive relief, and the costs of the proceedings. We will also revoke the license concerned and any other license held by the same person, without refund, and we will report unlawful conduct to the relevant authorities.

Nothing in this section limits any other right or remedy available to us under the restrictions above or at law.

Licenses may be bound to your machine(s) and activated electronically. We expressly reserve the right, at our discretion and where reasonably justified, to:

Where access is suspended or revoked because of your breach, no refund is due. Suspension or revocation does not waive any other right or remedy we may have.

Where a product is described as a lifetime license, "lifetime" means the operational lifetime of ICF Market and of that product. It does not mean the lifetime of the purchaser, and it is not a guarantee of any fixed period.

A lifetime license entitles you to use the product you were licensed, together with such updates as we choose to release for it, for as long as ICF Market continues to trade and continues to publish that product.

If ICF Market ceases to trade, is wound up or dissolved, or transfers the product or its business to another party, the license ends or transfers with it. You acknowledge and agree that in that event:

If any part of this section is held to be unenforceable, the remainder continues to apply. Nothing in it affects rights you have under consumer law that cannot lawfully be excluded.

The Software is supplied digitally. After your payment is confirmed, your license and a download link are normally made available to you electronically (for example by email and/or in your account area). Access may be subject to a limited download window and/or a limited number of downloads, and to license activation on your machine.

You are responsible for keeping your license key, download links and account credentials secure and confidential, and for meeting the technical requirements of the product (for example a supported version of your trading platform). Sharing or exposing these may lead to suspension under section 4.

Because the Software is a personal, licensed digital product that is made available to you immediately on confirmation of payment, sales are generally final and non-refundable once the license has been issued and/or the files have been downloaded or activated.

We may, at our discretion, consider a refund in limited circumstances such as a genuine failure of delivery that we cannot resolve, or a duplicate/erroneous charge. Refunds are not available where access has been suspended or revoked for breach of these Terms. Nothing in this section removes any non-excludable statutory rights you may have under applicable consumer law. To request consideration, contact us with your order details.

We may provide reasonable support for the Software through the channels we designate. Support is provided on a reasonable-efforts basis, may be limited to current product versions, and may be reduced or withdrawn where a license is in breach, suspended or revoked. We do not guarantee any specific response time or uptime.

The Software, its code, design, documentation, branding and all related intellectual property are owned by ICF Market and/or its licensors and are protected by law. These Terms grant you a license to use the Software only; they do not transfer any ownership. If you give us feedback or suggestions, you grant us a non-exclusive, royalty-free right to use them without obligation to you.

To the fullest extent permitted by law, the Software is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose or non-infringement.

To the fullest extent permitted by law, ICF Market’s total aggregate liability arising out of or in connection with the Software and these Terms is limited to the amount you actually paid for the relevant license. We are not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or trading opportunity. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law (such as liability for death or personal injury caused by negligence, or for fraud).

We may update these Terms from time to time. The version in force at the time of your purchase (shown by the version number and date above) applies to that purchase. The current version is published on this page.

These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales, and are subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any non-excludable rights you may have in your country of residence.
